These terms of proxy purchase service ("Proxy Terms") govern the use of the designated purchase service via proxy ("Proxy Service") as provided by Mercari, Inc. (“Our Company” or “We”) on the internet platform We operate (“Platform”). For the purpose of these Proxy Terms, “Applicable Laws” includes, without limitation, the laws and regulations of Japan, the User’s country or region of residence, the destination country, and any countries through which Items are shipped or transferred. Such Applicable Laws include, but are not limited to, customs, import, export control, and trade-related laws and regulations.

1. About the Service and Our Role as Proxy
   1. This Service constitutes a proxy purchase and delivery service whereby We, upon request from an individual residing outside of Japan (“User”) who has agreed to these Proxy Terms and completed the prescribed user registration for this Service, undertake to purchase items listed for sale on the Platform as designated by the User (“Items”), and deliver said Items to the User.
   2. We will purchase the Items specified by the User, and the purchase and sale agreement pertaining to the Items (“Purchase Agreement”) shall be concluded between us and the seller. The User shall not be a party to the Purchase Agreement with the seller; however, ownership of the Items under the Purchase Agreement shall transfer directly to the User. The User shall not make any claims, negotiations, or other communications regarding the Purchase Agreement or the Items with the seller (including, but not limited to, price negotiations, requests for exchange, complaints about defects, or claims for damages).
   3. Regarding Item delivery, We shall conclude a delivery contract with an affiliated logistics company.
   4. The logistics companies available for this Proxy Service, as well as the types, sizes, weights, values, destinations, and other conditions of Items that may be handled, shall be limited to those specified by us.
2. Consent to and Modification of These Proxy Terms
   1. These Proxy Terms set forth the conditions governing the use of the Proxy Service between the User and Our Company, and shall apply to the User’s use of the Proxy Service. The User agrees to these Proxy Terms and shall use the Proxy Service in accordance with the provisions herein. Use of the Proxy Service by the User shall be deemed to constitute their agreement to these Proxy Terms. The User agrees that these Proxy Terms may be presented electronically.
   2. We reserve the right to amend these Proxy Terms at any time by posting such amendments at our designated location (within the website or application) as required. Should a User continue to use the Proxy Service after such amendments, the User shall be deemed to have agreed to the amended Proxy Terms. Should a User not agree to the amended Proxy Terms, the User shall immediately notify Our Company to terminate the Proxy Service agreement under these Proxy Terms and cease using the Proxy Service. We shall not be liable for any damages incurred by Users as a result of any revisions or amendments to these Proxy Terms.
   3. Any matters concerning this Proxy Service that are not stipulated in these Proxy Terms shall be governed by the provisions of the Terms of Service (Global Membership)" separately established by Our Company. In the event of any inconsistency or conflict between these Proxy Terms and the provisions of the aforementioned terms, the provisions of these Proxy Terms shall prevail.
3. Designated Purchase of Items
   1. The User shall request the designated purchase of an Item using the method specified by us. Requests for designated purchases may only be made by the Users themselves.
   2. Upon receipt of a valid request from a User, We shall immediately proceed with the purchase of the relevant Item. As the purchase is completed immediately following the User’s submission of the request, the User cannot cancel the requested purchase at their own convenience.
   3. The User shall bear the following costs and shall pay the total amount thereof (“Total Amount Payable”) to us by the method and within the period specified by us:
      1. The purchase price of the Item subject to the designated purchase request, which includes:
         1. The sales price of the Item;
         2. Japanese consumption tax and any other taxes payable to the seller at the time of purchase (if applicable); and
         3. Delivery charges from the seller to our warehouse (only if separately set by the seller in addition to the sales price).
      2. Service charges (referring to the fees and optional charges separately determined by us as consideration for the use of the Proxy Service).
      3. Costs associated with the delivery of the Item from our warehouse to the User (including international shipping and packaging costs).
      4. Foreign exchange fees.
      5. Customs duties and other taxes incurred in the destination country (collectively, “Customs Duties”).
   4. Depending on the destination country or region and the chosen shipping method, We (including our designated subcontractors) may not pay Customs Duties on behalf of the User. In such cases, notwithstanding 3.3.5, the Total Amount Payable paid by the User will not include any Customs Duties. The User shall be solely and fully responsible for paying any and all applicable Customs Duties in accordance with the instructions of the shipping carrier or customs authorities.
   5. We will determine the shipping method as well as the calculation method for international shipping fees, packaging fees, and other delivery-related costs (collectively, "Shipping Costs") based on the weight, size, material, and other attributes of the Item, as well as our experience and expertise. Furthermore, Our Company shall not be obligated to disclose the internal calculation logic, parameters, or other proprietary information used to determine such Shipping Costs, nor to explain any differences between estimated and actual costs, the internal breakdown of each fee, or to provide refunds for such differences.
   6. Our service charges, Shipping Costs, and other associated costs are subject to change without prior notice. Additionally, the sales price of the Item may change without notice at the seller’s discretion. The final amount payable will be displayed on the final checkout screen. It is the User’s sole responsibility to thoroughly verify the amount and details before submitting a purchase order for the Item.
   7. We will not issue receipts to the User for the receipt of funds set forth in this section.
   8. If the Item for which a designated purchase has been requested is out of stock, discontinued, or otherwise unavailable for purchase, We reserve the right to cancel the designated purchase for that Item.
   9. If the User fails to make full payment for the Item and related charges by the deadline specified by Our Company, the User shall pay us a late payment penalty at the maximum interest rate permitted by Applicable Laws. In such cases, We reserve the right to terminate the Proxy Service agreement under these Proxy Terms without any prior notice to the User.
4. Prohibited Items
   1. The User shall not use this Proxy Service for the purchase of the following items:
      1. Cash, checks, promissory notes, stock certificates, and other securities (including vouchers such as airline and concert tickets);
      2. Credit cards, cash cards, and other types of cards;
      3. Bank passbooks or ATM cards for withdrawing deposits;
      4. Letters or any means of communication defined as letters under Applicable Laws;
      5. Live animals or plants, dead animals, or taxidermy specimens;
      6. Human body parts, human remains, ashes, or memorial tablets;
      7. Food, beverages, or other items that may spoil or deteriorate easily;
      8. Stimulants, cannabis, narcotics, psychotropic drugs, and other prohibited substances;
      9. Firearms, swords, weapons, military equipment, explosives, poisonous or toxic substances, or hazardous materials;
      10. Pharmaceuticals or medical devices;
      11. Child pornography, adult videos, or other obscene materials;
      12. Items obtained through illegal means or methods;
      13. Items that are prohibited or restricted for transport, export, or import under Applicable Laws (including, but not limited to, goods falling under Items 1 to 15 of Appended Table 1 of Japan’s Export Trade Control Order, as well as technologies/software falling under Items 1 to 15 of the Appended Table to the Foreign Exchange Order, or any other items that otherwise require permits or approvals from export/import control authorities under relevant laws);
      14. Items that are not permitted for handling under the shipping company’s terms and conditions; or
      15. Any other items deemed inappropriate by Our Company.
5. Item Inspections
   1. Upon arrival of the Item at our facility, We will conduct a simple identity check (“Inspection”) in accordance with our prescribed standards to confirm that there are no obvious discrepancies between the Item and the item images posted by the seller (“Item Images”).
   2. During the Inspection as specified above, Our Company, as a general rule, will not perform the following verifications:
      1. Checks on aspects that cannot be discerned from the Item Images;
      2. Checks requiring specialized knowledge, such as brand authenticity;
      3. Checks of the quantity or condition of Items exceeding 25 units;
      4. Checks that require disassembly, assembly, or the opening of packaging or seals; or
      5. Functionality checks for electronic devices or content verification of media such as CDs.
   3. In principle, We intend for the Items listed for sale to be sold within Japan, and provide them “as-is” through this Proxy Service. We do not guarantee the quality, functionality, performance, compliance with technical standards, freedom from defects, authenticity, or conformity to Applicable Laws.
   4. If, during the Inspection, We discover that the Items violate or are suspected of violating such laws as the Act on Prevention of Transfer of Criminal Proceeds or other Applicable Laws, We may, at our sole discretion, report such items to the police or other relevant authorities and take appropriate measures such as forfeiting the Items.
   5. If We receive any items other than the Item itself from the seller (including, but not limited to, delivery notices, novelty items, freebies), We may dispose of them at our sole discretion.
   6. We shall not be liable for any damage or loss suffered by the User as a result of the Inspection, except where such damage or loss is directly caused by Our Company.
6. Shipping
   1. After completing the Inspection, We will package the Items, process their shipping, and handle export procedures. We may collect or add packing materials if We deem it necessary.
   2. The delivery of the Item shall be deemed completed, and the risk of loss or damage shall transfer to the User, at the time the Item is handed over by Our Company to the carrier for shipment.
   3. The shipping destination that the User may specify is limited to an address within the country or region where the User resides. The Item cannot be shipped directly from the seller to a location specified by the User. Furthermore, the User may not change the shipping address unless a notification is made in the manner prescribed by us.
   4. The timing of shipment will be determined at our sole discretion, and unless otherwise specified by us, the User may not designate this timing.
   5. The Item name, price, quantity, and other export/import-related information stated in export/import documents will be prepared based on the Item description and other information provided by the seller. We assume no responsibility for the accuracy of such content. Additionally, since the Items are generally intended for sale within Japan, We bear no responsibility for any import bans or other measures that may apply to the Item in the destination country or region (including those resulting from the content of the seller’s Item description).
7. Item Returns
   1. Users may only return Items within the specified period by completing our prescribed procedures if it is determined that the actual Item clearly differs from the description provided by the seller on the Platform, or if the Item is damaged or soiled due to an accident during delivery.
   2. When returning an Item under the preceding paragraph, the User shall send the Item to the return address designated by us.
   3. If the User returns the Item in accordance with the above provisions, We will refund the Total Amount Payable for the Item as paid by the User.
8. Purchase Cancellation and Service Restriction
   1. We may cancel a designated purchase request or refuse to provide all or part of the Proxy Service, even after accepting a request, if any of the following grounds apply or are likely to apply. In such cases, We may take measures We deem necessary, including, but not limited to, the termination of the Purchase Agreement.
      1. Reasons Attributable to the Item
         1. If the Item falls under the “Prohibited Items” as specified in Art 4;
         2. If the Item cannot be exported or shipped outside Japan due to these Proxy Terms or Applicable Laws; or
         3. If the Item does not meet the type, size, weight, price, or other conditions We specify as the scope within which the Proxy Service may be used.
      2. Reasons Attributable to the Seller
         1. If the seller requests the termination of the Purchase Agreement; or
         2. If the seller fails to deliver the Item to us within a reasonable period after the order was completed.
      3. Reasons Attributable to the User
         1. If the User’s location or the shipping address for the Item cannot be confirmed;
         2. If the User fails to pay the Total Amount Payable or other charges by the deadline specified by us;
         3. If the User fails to receive the Item by the deadline specified by us; or
         4. If the User violates these Proxy Terms or the “Terms of Service (Global Membership)”.
      4. Reasons Attributable to Shipping or Customs
         1. If the shipping carrier refuses to transport the Item; or
         2. If the Item is detained or confiscated by customs.
      5. Other Reasons
         1. If provision of the Proxy Service becomes difficult due to force majeure or other circumstances beyond our reasonable control; or
         2. If provision of the Proxy Service is deemed by us to be infeasible, unlawful or otherwise likely to result in a crime or an unlawful outcome, likely to cause significant operational disruption to our Services, reputational harm to us, or significant harm to our consumers.
9. Disposal of Non-Deliverable Items
   1. Should the circumstances specified in the preceding article occur, and should such circumstances remain unresolved for a reasonable period after We have received the Item, We shall be entitled to dispose of the Item by means of resale, disposal, return, or other appropriate methods.
   2. Notwithstanding any damage incurred by the User as a result of the disposal of Items as stipulated herein, We shall bear no liability whatsoever, except where such damage arises from causes attributable to us.
   3. The User shall bear all costs incurred for the storage and disposal of Items (including, but not limited to, fees relating to storage, return shipping, and disposal).
10. Compliance with Laws and Regulations
    1. The User shall use this Proxy Service solely for the purpose of purchasing Items for their personal use. The Proxy Service may not be used for the purchase of Items intended for resale.
    2. The User, when using this Proxy Service, shall independently verify and comply with all Applicable Laws. We shall not be liable in any way if the User is unable to acquire or import the Item due to such Applicable Laws, or if any issues arise in connection therewith. The User shall also ensure that their use, possession, and disposal of the Item comply with all Applicable Laws.
