Terms of Service (Purchase Service)

These Terms of Service (Purchase Service) ("Terms") constitute a legally binding agreement between Mercari, Inc., a corporation duly incorporated and validly existing under the laws of Japan, with its principal place of business located at Roppongi Hills Mori Tower, 6-10-1, Roppongi, Minato-ku, Tokyo, 106-6125, Japan ("Mercari," "we," "our," or "us") and you, an individual residing outside of Japan. You acknowledge that Mercari is a Japanese legal entity, is not incorporated or organized under law in your jurisdiction, and is entering into this agreement exclusively as a Japanese entity. These Terms govern your use of the designated purchase and delivery handling service ("Purchase Service") provided by us on our digital environments that display these Terms (collectively, "Platform").


For the purpose of these Terms, "Applicable Laws" means all applicable laws and regulations, including, without limitation, the laws and regulations of Japan, the country or region of your residence, the shipment destination country, and any countries through which Items (defined below) are shipped or transferred. Such Applicable Laws include, but are not limited to, customs, import, export control, and trade-related laws and regulations.

1. About the Purchase Service and Our Role

  1. By using the Purchase Service, you enter into and agree to a binding agreement with us for the Purchase Service. Under these Terms, we undertake to purchase items listed for sale on the Platform as designated by you ("Items") on your behalf, inspect such Items as set forth in Section 5 of these Terms, and have such Items delivered to you.
  2. We will purchase the Item specified by you, and the purchase and sale agreement pertaining to the Item ("Purchase Agreement") shall be concluded between Mercari and the party who listed the Item on the Platform for sale ("Exhibitor"). You shall not be a party to the Purchase Agreement with any Exhibitor; however, ownership of the Item under the Purchase Agreement shall transfer to you from the applicable Exhibitor, and we do not take ownership of the Item at any time in our provision of the Purchase Service. For the avoidance of doubt, all Items will be considered delivered, and title and risk of loss will pass, from Exhibitor to Purchaser in Japan whenever possible. You shall not make any claims, negotiations, or other communications (including, but not limited to, price negotiations, requests for exchange, complaints about defects, or claims for damages) regarding the Purchase Agreement or Items with any Exhibitors.
  3. You acknowledge and agree that one or more third-party logistics companies designated by Mercari ("Logistics Partners") will provide Item delivery services to you. The designation of Logistics Partners and the restriction of the permissible types, sizes, weights, values, destinations, and other relevant conditions of Items for delivery shall be determined by Mercari and may be amended from time to time at our discretion. You hereby authorize the Logistics Partner handling Item delivery to you to act on your behalf in completing all necessary customs clearance procedures as required under Applicable Laws and acknowledge you are ultimately responsible for customs clearance.

2. Consent to and Modification of These Terms; Mercari Platform Terms of Service

  1. These Terms set forth the conditions governing your use of the Purchase Service.
  2. You agree that these Terms may be presented electronically.
  3. We reserve the right to amend these Terms at any time by posting such amendments at our designated location (within the Platform). Continued use of the Purchase Service by you after such amendments constitutes your acceptance of the amended Terms. Should you not agree to the amended Terms, you shall immediately notify Mercari, using the inquiry form available in our Help Center, and cease using the Purchase Service. Upon our receipt of your notice, these Terms are terminated, and you may no longer use the Purchase Service. We shall not be liable for any damages incurred by you as a result of any revisions or amendments to these Terms.
  4. You acknowledge and agree that these Terms are incorporated into, and form a part of, the Terms of Service (Platform) ("Platform Terms") separately established by Mercari, and that both these Terms and the Platform Terms apply to your use of the Purchase Service. In the event of any conflict between these Terms and the Platform Terms, the provisions of these Terms shall prevail to the extent necessary to resolve such conflict with respect to your use of the Purchase Service.

3. Designated Purchase of Items

  1. You shall request the designated purchase of an Item using a payment method approved by Mercari. Requests for designated purchases may only be made by you.
  2. Upon receipt of a valid request from you, we will proceed with the purchase of the designated Item. As the purchase is completed immediately following your submission of the request, you cannot cancel the requested purchase at your own convenience.
  3. In connection with your use of the Purchase Service, you may be given the option to save your payment card or other payment credentials for future transactions (collectively, "Stored Credentials"). If you elect to save your payment credentials, you authorize Mercari and its payment processing partners to store such Stored Credentials and to use them for future transactions through the Platform, including subsequent, delayed, or other charges related to the Purchase Service. You may update or remove your Stored Credentials, or withdraw your consent to their future use, at any time through your payment settings available on the checkout page prior to completing a purchase. Removal of Stored Credentials will apply only to future transactions and will not affect charges that have already been authorized or processed.
  4. For each Item, you shall bear the following costs and shall pay the total amount thereof ("Total Amount Payable") to us using a supported payment method and within the period specified by us:
    1. The purchase price of the Item subject to the designated purchase request, which includes:
      1. The sales price of the Item;
      2. Japanese consumption tax and any other taxes payable to third parties at the time of purchase (if applicable); and
      3. Delivery charges from the Exhibitor to our warehouse (only if separately set by the Exhibitor in addition to the sales price).
    2. Service charges (referring to the fees and optional charges separately determined by us as consideration for the provision of the Purchase Service).
    3. Costs associated with the delivery of the Item from our warehouse to your designated shipping address, including costs for packaging, international shipping, and shipping within the destination country (collectively, "Shipping and Handling Fees").
    4. Foreign exchange fees.
    5. Customs duties, fees, and other taxes incurred in the destination country (collectively, "Customs Duties").
  5. Depending on the destination country or region and the chosen shipping method, we or our service providers (including our Logistics Partners) may elect not to pay, or may not be able to pay, Customs Duties on your behalf. In such cases, notwithstanding Section 3.4.5, the Total Amount Payable by you will not include any Customs Duties, and you shall be solely and fully responsible for paying any and all applicable Customs Duties in accordance with the instructions of the Logistics Partners or customs authorities.
  6. We will determine the shipping method and calculate Shipping and Handling Fees and Customs Duties based on the weight, size, material, and other attributes of the Item, as well as our and our Logistics Partners' experience and expertise. Furthermore, Mercari shall not be obligated to (a) disclose the internal calculation logic, parameters, or other information used to determine such Shipping and Handling Fees or Customs Duties, (b) explain any differences between estimated and actual Shipping and Handling Fees or Customs Duties or the internal breakdown of each fee, or (c) provide refunds for such differences.
  7. Our service charges, Shipping and Handling Fees, Customs Duties, and other associated charges are subject to change without prior notice. Additionally, the sales price of the Item may change without notice. The final amount payable by you will be displayed on the final checkout screen. It is your sole responsibility to thoroughly verify the amount and details before submitting a purchase request for the Item.
  8. If the Item for which a designated purchase has been requested is out of stock, discontinued, or otherwise unavailable for purchase, we reserve the right to cancel the designated purchase for that Item.
  9. If you fail to make full payment for the Total Amount Payable by the deadline specified by Mercari, you shall pay us a late payment penalty at the maximum interest rate permitted by Applicable Laws. In such cases, we reserve the right to terminate the Purchase Service under these Terms without any prior notice to you.

4. Prohibited Items

You shall not use the Purchase Service for the purchase of the following items:


  1. Cash, checks, promissory notes, stock certificates, and other securities (including vouchers such as airline and concert tickets);
  2. Credit cards, cash cards, and other types of payment cards;
  3. Bank passbooks or ATM cards for withdrawing deposits;
  4. Letters or any means of communication defined as letters intended for private communications under Applicable Laws;
  5. Live animals or plants, dead animals, or taxidermy specimens;
  6. Human body parts, human remains, ashes, or memorial tablets;
  7. Food, beverages, or other items that may spoil or deteriorate easily;
  8. Stimulants, cannabis, narcotics, psychotropic drugs, and other prohibited substances;
  9. Firearms, swords, weapons, military equipment, explosives, poisonous or toxic substances, or hazardous materials;
  10. Pharmaceuticals or medical devices;
  11. Child pornography, adult videos, or other obscene materials;
  12. Items obtained through illegal means or methods;
  13. Items that are prohibited or restricted for transport, export, or import under Applicable Laws (including, but not limited to, goods falling under Items 1 to 15 of Appended Table 1 of Japan's Export Trade Control Order, as well as technologies/software falling under Items 1 to 15 of the Appended Table to the Foreign Exchange Order, or any other items that otherwise require permits or approvals from export/import control authorities under Applicable Laws);
  14. Items that are not permitted for handling under the Logistics Partner's terms and conditions; or
  15. Any other items deemed inappropriate by Mercari, at our sole discretion.

5. Item Inspections

  1. Upon receipt of the Item at our facility, we will perform a standard identity verification according to our established protocols ("Inspection") to verify consistency between the Item and the images displayed on the Platform ("Item Images"), confirming that no apparent discrepancies exist.
  2. We may, but are not required to, conduct the following checks during the Inspection:
    1. Examinations of details that cannot be determined from the Item Images;
    2. Assessments requiring specialized knowledge, such as verifying brand authenticity;
    3. Inspections of the quantity or condition of Items when there are more than 25 units;
    4. Examinations that require disassembly, assembly, or the opening of packaging or seals; or
    5. Functional testing of electronic devices or content verification of media such as CDs.
  3. We do not guarantee Items' quality, functionality, performance, compliance with technical standards, freedom from defects, authenticity, or conformity to Applicable Laws.
  4. If, during the Inspection, we discover that the Items violate or are suspected of violating Applicable Laws, we may, at our sole discretion, report such Items to the relevant legal, regulatory, or other enforcement authorities and take appropriate measures such as forfeiting the Items.
  5. If we receive any items other than the Item itself from the Exhibitor in connection with your purchase request (including, but not limited to, delivery notices, novelty items, freebies), we may dispose of them at our sole discretion.
  6. We shall not be liable for any damage or loss suffered by you as a result of the incomplete or limited Inspection of Items, and all Purchase Service is provided "as is" without warranties beyond those expressly stated herein.

6. Shipping

  1. After completing the Inspection, we will package the Items, process their shipping, and handle export procedures. We may collect or add packaging materials if we deem it necessary.
  2. The delivery of the Item by us shall be deemed completed, and the risk of loss or damage shall transfer to you, at the time Mercari places the Item to the Logistics Partner for shipment.
  3. The shipping destination that you may specify is limited to an address within the country or region where you reside. The Item cannot be shipped directly from an Exhibitor to a location specified by you. Furthermore, you may not change the shipping address after your submission of the purchase request unless a notification is made in the manner prescribed by us.
  4. The timing of shipment will be determined at our sole discretion, and unless otherwise specified by us, you may not designate this timing.
  5. The Item name, price, quantity, and other export/import-related information stated in export/import documents will be prepared based on the Item description and other information provided by the Exhibitor. We assume no responsibility for the accuracy of such content. Additionally, since the Items are generally intended for sale within Japan, we bear no responsibility for any import bans or other measures that may apply to the Item in the destination country or region (including those resulting from the content of the Item description).

7. Item Returns

  1. You may only return Items within the specified period by completing our prescribed procedures as specified here if it is determined that the actual Item clearly and conspicuously differs from the description displayed on the Platform, or if the Item is damaged due to an accident during delivery.
  2. When returning an Item under the preceding paragraph, you shall send the Item to the return address designated by us.
  3. If you return the Item in accordance with this Section 7, we will refund the Total Amount Payable for the Item as paid by you, as further described here.

8. Purchase Cancellation and Service Restriction

We may cancel a designated purchase request or refuse to provide all or part of the Purchase Service, even after accepting a request, if any of the following grounds apply or are likely to apply, as determined at our sole discretion. In such cases, we may take measures we deem reasonably necessary, including, but not limited to, the termination of the Purchase Agreement.


Reasons attributable to the Item

  1. If the Item falls under the "Prohibited Items" as specified in Section 4;
  2. If the Item cannot be exported or shipped outside Japan due to these Terms or Applicable Laws; or
  3. If the Item does not meet the type, size, weight, price, or other conditions we specify as the scope within which the Purchase Service may be provided.

Reasons attributable to Exhibitors

  1. If the Exhibitor terminates the Purchase Agreement with Mercari; or
  2. If the Exhibitor fails to deliver the Item to us within a reasonable period after the purchase request was placed by you.

Reasons attributable to you

  1. If your location or the shipping address for the Item cannot be confirmed;
  2. If you fail to pay the Total Amount Payable or other charges by the deadline specified by us;
  3. If you fail to receive the Item by the deadline specified by us; or
  4. If you violate these Terms or the Platform Terms.

Reasons attributable to shipping or customs

  1. If the Logistics Partner refuses or fails to transport the Item; or
  2. If the Item is detained or confiscated by a customs authority.

Other reasons

  1. If provision of the Purchase Service becomes difficult due to force majeure or other circumstances beyond our reasonable control; or
  2. If provision of the Purchase Service is deemed by us to be infeasible, unlawful, or otherwise (i) likely to result in a crime or an unlawful outcome or (ii) likely to cause significant operational disruption to us, the Platform, or the Purchase Service, reputational harm to us, or significant harm to our consumers.

9. Disposal of Non-Deliverable Items

  1. Should the circumstances specified in Section 8 occur, and should such circumstances remain unresolved for a reasonable period after we have received the Item, we shall be entitled to dispose of the Item by means of resale, disposal, return, or other appropriate methods determined by us at our sole discretion.
  2. Notwithstanding any damage incurred by you as a result of the disposal of Items as stipulated in this Section 9, we shall bear no liability whatsoever, except where such damage arises solely from causes exclusively attributable to us.
  3. You shall bear all costs incurred for handling the storage and disposal of Items (including, but not limited to, fees relating to storage, return shipping, and disposal).

10. Compliance with Applicable Laws; Complaints

  1. You shall use the Purchase Service solely for the purpose of purchasing Items for your personal, non-commercial use; you acknowledge and agree that (i) Items are purchased not for retail sale, and (ii) Items are neither offered nor intended as toys for children. The Purchase Service may not be used for the purchase of Items intended for resale.
  2. When using the Purchase Service, you shall independently verify and comply with all Applicable Laws. We shall not be liable in any way if you are unable to acquire or import an Item due to such Applicable Laws, or if any issues arise in connection therewith. You shall also ensure that your use, possession, and disposal of the Item comply with all Applicable Laws.
  3. If any issues arise in relation to payment, delivery, duties, or other aspects of the Purchase Service, please contact us using the following information:
